Terms of Service

By creating an account on EUDigiPass ("the Service"), you ("Customer", "you") agree to these Terms of Service ("Terms") with Sustainable Grove ("we", "us"), a company based at Heiligenstaedterstrasse 3/40, 1190 Vienna, Austria, registered under Firmenbuchnummer 637523i. EUDigiPass is a brand of Sustainable Grove and not a separate legal entity.

If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not have that authority, or do not agree to these Terms, do not use the Service.

EUDigiPass is a Software-as-a-Service platform that allows businesses to create, manage, and publish Digital Product Passports (DPPs) compliant with EU Regulation 2024/1781 (Ecodesign for Sustainable Products Regulation, "ESPR"). The Service includes:

• A web-based dashboard for creating and managing product passport data
• Public passport pages accessible via GS1 Digital Link QR codes
• Scan analytics and compliance scoring tools
• CSV bulk upload and label printing tools
• Tiered access control (auditor unlock codes) for commercially sensitive fields

The Service is provided on a "best effort" basis. We are not a legal adviser and nothing in the Service constitutes legal advice. EUDigiPass does not guarantee that passports created on this platform will satisfy the requirements of any specific EU regulatory authority, delegated act, or customs authority. You are responsible for ensuring the accuracy and completeness of your passport data.

You must provide a valid email address to register. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.

You agree to notify us immediately at support@eudigipass.com of any unauthorised access to your account.

You may not create more than one account per email address. Accounts are non-transferable.

EUDigiPass offers the following plans:

• Starter (Free): Up to 5 published passports. No payment required.
• Growth: Up to 50 published passports. Monthly subscription fee as listed on the pricing page.
• Professional: Up to 500 published passports. Monthly subscription fee as listed on the pricing page.
• Enterprise: Unlimited passports. Custom pricing. Contact us.

Subscription fees are billed monthly in advance. Prices are listed in Indian Rupees (₹) and include applicable taxes. You authorise us to charge your payment method on the billing date each month.

Downgrading: If you downgrade to a lower plan and your active passport count exceeds the new plan limit, existing published passports remain accessible but you may not publish new passports until you are within the limit.

Cancellation: You may cancel your subscription at any time from your dashboard. Your account reverts to the Starter (Free) plan at the end of the current billing period. No refunds are issued for partial months.

You agree not to:

• Submit false, misleading, or fraudulent product data to any passport (this may constitute an offence under EU product compliance law)
• Upload certifications or compliance documents you do not hold or that are expired
• Use the platform to create passports for products you do not have the right to represent
• Attempt to access another customer's data, dashboards, or passports without authorisation
• Reverse engineer, scrape, or probe the platform in a way that impairs its operation
• Use the Service for any purpose that is unlawful under applicable Austrian, EU, or local law

We reserve the right to suspend or terminate accounts that violate these terms, with notice where practicable.

Once you publish a Digital Product Passport on EUDigiPass, it cannot be deleted. This is not a commercial choice — it is a legal obligation under EU Regulation 2024/1781 (ESPR), which requires DPP data to be retained and accessible for the product's lifetime plus a minimum of 10 years after the last unit is placed on the EU market.

Specifically:

• If you delete your account: Your email address, company profile, draft passports, and activity logs are permanently deleted. Published passports are retained at their public GS1 Digital Link URLs, with account ownership removed.
• If your subscription expires: Published passports remain publicly accessible. You may not publish new passports beyond your plan limit, but existing published passports are not removed.
• Draft (unpublished) passports are not subject to this retention requirement and can be deleted at any time.

You acknowledge and accept this retention requirement before publishing any passport.

Your data: You retain all ownership rights to the product data and certifications you upload. By using the Service, you grant EUDigiPass a non-exclusive, worldwide, royalty-free licence to store, process, and publicly display the data in your published passports for the purpose of operating the Service (including the ESPR-mandated public accessibility of DPPs).

Our platform: EUDigiPass and its software, design, trademarks, and documentation are owned by EUDigiPass Technologies Private Limited. You may not copy, modify, or create derivative works from any part of the platform.

To the maximum extent permitted by applicable law:

• EUDigiPass is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.
• EUDigiPass is not liable for regulatory enforcement actions, customs seizures, import refusals, or commercial losses arising from passports created on this platform — you are responsible for the accuracy of the data.
• Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 3 months prior to the claim.

Nothing in these Terms limits liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.

The Service is provided "as is" and "as available". We make no warranty that:

• The Service will be uninterrupted or error-free
• Passports created on the platform will be accepted by any EU regulatory authority, customs body, or buyer
• The compliance scoring provided by EUDigiPass reflects the official position of any EU institution

We will endeavour to maintain at least 99% monthly uptime, but this is a target, not a contractual guarantee.

Either party may terminate these Terms at any time. You may close your account from your dashboard. We may suspend or terminate your account with 14 days' notice for convenience, or immediately for material breach of these Terms.

On termination, Sections 6 (ESPR retention), 7 (IP), 8 (liability), and 11 (governing law) survive.

These Terms are governed by Austrian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For business customers, the competent courts in Vienna, Austria have exclusive jurisdiction. Consumers resident in the EU keep the protection of the mandatory provisions and courts of their country of residence.

Before initiating legal proceedings, both parties agree to attempt resolution in good faith by emailing support@eudigipass.com.

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
